Membership
Membership to the League of Lancaster Bicyclists is FREE, although you must be a Member of our National Affiliate Organization, the League of American Bicyclists, the national advocacy organization for bicyclists in the United States. As such the League of Lancaster Bicyclists are engaged in collaborative efforts with other organizations, locally, regionally and nationally. Official membership to the League of Lancaster Bicyclists is based on a level of individual financial support no less than $25.00. Members are encouraged through their various levels of volunteer support in the following areas in the effort within the Lancaster County Bicycle Friendly Community Project; Engineering, Education, Encouragement, Evaluation & Planning, Enforcement, Equality.

Responsibilities
The membership’s primary focus will be to develop a strategic plan to engage the Lancaster County Community while spearheading an effort to establish Lancaster City and other County municipalities as appropriately designated levels of Bicycle Friendly Communities as per the designations of the League of American Bicyclists Bicycle Friendly Community Program. The group will actively support the application process for Bicycle Friendly Community status, the promotion of National Bike Month, and the activities related to the League’s Six Es of a Bicycle Friendly Community; Engineering, Education, Encouragement, Evaluation & Planning, Enforcement, Equality.

NAME
The name of the corporation shall be Dream Ride Projects 

PURPOSE
The purpose of the corporation shall be to promote healthy lifestyles and disease prevention through bicycling activities, events, projects and initiatives. 

MEMBERSHIP
The corporation shall have no members. 

DIRECTORS
The affairs of the corporation shall be managed by a Board of Directors. The number of directors shall be not less than 2 and not more than 12. Directors shall be elected to serve for terms of one year and until their successors are chosen., provided that the initial directors shall be the following individuals, Pamela L. Bard (Chair), Helen Gehr (Treasurer), N. Katherine Bard (Secretary), Rita Snyder (Assistant Secretary). 

VACANCIES
In the case of death or resignation of a director, the remaining directors shall appoint a successor who shall serve for the unexpired term. At the end of each Director’s term a replacement shall be elected by the directors of the corporation. 

ANNUAL MEETING
The annual meeting of the Directors shall be held after the close of the fiscal year at such place and time as the Directors shall determine. At least 10 days’ written notice of the time and place of the annual meeting shall be given to all Directors. All other meetings may be held on notice which will enable the person to reach the place designated in the time for the meeting. 

QUORUMS
The majority of the Board of Directors in office shall be necessary to constitute quorums for the transaction of business at Directors’ meeting. 

ORGANIZATION
The officers shall be a Chair, Treasurer, Secretary and Assistant Secretary. The officers shall be elected at the annual meeting of Directors for the term of one year and shall continue to hold office until their successors are chosen, provided that the initial officers shall be stated in Paragraph 5, above.  

DIRECTORS’ LIABILITY
No director of the corporation shall be personally liable for monetary damages for any action taken, or any failure to take action, unless the director has breached or failed to perform the duties of his/her office under Subchapter 57B of the Pennsylvania Nonprofit Corporation Law (relating to standard of care and justifiable reliance); and the beach or failure to perform constitutes self-dealing, willful misconduct, or recklessness. 

FISCAL YEAR
The fiscal year of the corporation shall be the calendar year. 

CORPORATE SEAL
The corporation shall have a seal which shall have on it the name of the corporation, the year of incorporation, and the word “Pennsylvania” and which shall be in the custody of the Secretary. 

AMENDMENTS
The Bylaws may be amended by a majority vote of the directors at any meeting duly called.
